Stadium Heroes - Sports Fantasy RPG Game - Terms and Conditions (Update 04/01/2024)

The website https://www.stadiumheroes.com and the game application https://app.stadiumheroes.com (hereinafter together the “Platform” or “Stadium Heroes”) are owned and operated by IROLABS, a French company having its head office at 10 rue de la Paix, 75002 in Paris FRANCE, and registered at the Trade Register of the Chamber of Commerce of Paris under n°981 761 471 (hereinafter the “IROLABS”).

1. Acceptance of Terms

By accessing and using the Stadium Heroes ("the Game"), you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, please refrain from using the Game.

2. Eligibility

a. You must at least have 18 years old, or have the legal age in your jurisdiction to participate in the Game.

b. Employees, partners, and affiliates of Stadium Heroes are ineligible to participate.

3. Account Information

3.1. Safeguarding Your Account.

3.2. Choose a strong password, utilize a password manager, securely store your credentials, avoid sharing your account details with third parties, and follow general security best practices. We are not liable for any loss or theft of your password or account details. It is your responsibility to protect your login credentials and account information, particularly your password. We strongly recommend setting up two-factor authentication. You are responsible for the actions of anyone using your User account, even without your explicit permission.

3.3. You are required to immediately report any theft or unauthorized use of your account information, login details, or password, as well as any illegal or unauthorized third-party activity on your account, by contacting our Support Team via the Help Center at https://help.stadiumheroes.com/.

3.3. Selection of Username.

3.4 When creating a User account, you will need to choose a username that will be linked to all transactions and activities associated with your User account.

3.5. You must not attempt to mislead, confuse, or defraud other users with your username. Your username must not contain any abusive, harassing, offensive, or otherwise harmful language or suggestions.

3.6. Restrictions on Account Usage.

3.7. Multi account policy. You are limited to having only one User account and are prohibited from managing the accounts of other Users, even with their explicit consent. Account creation is strictly for individual persons; accounts for partnerships, joint ventures, or corporate entities are not allowed.

3.8. Registration Process. Stadium Heroes is free to use. To create a User account, you need to provide:

• valid e-mail address.

• chose an username;

Alternatively, you can create an account by signing in through your Google account.

By setting up a User account, you agree to these Terms, thereby affirming and guaranteeing that you (i) are at least eighteen (18) years old; (ii) accept these Terms and Conditions; (iii) will use the Website, App, and/or Services in compliance with these Terms and any applicable laws or regulations; and (iv) you are not located in, nor a resident of, any country that is subject to trade sanctions or embargoes imposed by the U.S. government, European Union, and/or United Nations, nor are you listed on any of their respective directories of restricted or prohibited entities or individuals (including being identified as a Specially Designated National by the U.S. government).

To be clear, you must not use or access the Website or Services from any country subject to embargo by the U.S. government, European Union, and/or United Nations, or if you are on any restricted parties or persons lists maintained by the U.S. government, European Union, or United Nations (including being classified as a Specially Designated National by the U.S. government).

3.9. Usage of Account. The overall Services are intended solely for personal, non-commercial, individual use. You must not register or operate in conjunction with another individual, group, or corporate entity.

4. Website and Gameplay

a. The Game allows users to create and manage virtual football fantasy teams based on real-life players and events.

b. You have the ability to obtain, accumulate, swap, and engage with collectible digital cards utilizing blockchain technology.

C. Virtual assets and tokens acquired within the Game are owned by the user, subject to the terms of the underlying blockchain technology.

The Website may contain links or content from external services not managed by IROLABS, offering supplementary content or functionalities, including payment processing, the acquisition and trading of digital assets using legal tender, digital asset wallets, plus player statistics and external collectible trading platforms ("Third-Party Services"). Regardless of their integration with the Website, these Third-Party Services are governed by the terms of service and privacy policies of the respective third-party operators, who bear full responsibility for them. IROLABS does not hold accountability for the functionality or precision of the Third-Party Services, nor for the services, goods, or content sourced from these Third-Party Services. The presence of links to or usage of any Third-Party Services does not constitute IROLABS’s endorsement of such services. It is advisable to review the specific terms, conditions, and privacy policies of these Third-Party Services for detailed information.

5. Wallet Policy

5.1 Digital Wallet Usage. In order to engage fully with the services and features of our game, users are required to connect a digital wallet ("Wallet"). The Wallet serves as a personal storage for digital assets, including but not limited to in-game tokens, digital collectibles, and cryptocurrency. Users must ensure that their Wallet is compatible with the standards and protocols supported by our platform.

5.2. Wallet Security and Responsibility. The security of your Wallet is paramount. Users are solely responsible for maintaining the confidentiality and security of their Wallet keys and any other access credentials. This includes taking necessary precautions such as using strong passwords, enabling two-factor authentication, and keeping backup copies of keys in secure locations. Stadium Heroes is not responsible for any loss or damage arising from unauthorized access to your Wallet or your failure to follow appropriate security measures.

5.3. Transactions and Confirmations. Transactions initiated via your Wallet on the Stadium Heroes platform, including transfers of digital assets and in-game purchases, are irreversible once confirmed on the blockchain. Users are responsible for verifying all transaction details, such as the correct Wallet address and transaction amount, before confirmation. Stadium Heroes is not liable for any errors or losses associated with incorrectly executed transactions due to user error.

5.4. Compatibility and Updates. Users must ensure that their Wallet remains compatible with the Stadium Heroes platform. This includes updating the Wallet software in accordance with the provider's recommendations and ensuring that it aligns with the technical requirements of our game. Stadium Heroes is not responsible for any loss of functionality or access resulting from an outdated or incompatible Wallet.

5.5. Third-Party Wallet Services. Users may opt to utilize third-party Wallet services. While we may provide integration or access to these services, Stadium Heroes does not endorse and is not responsible for the security, functionality, or operation of any third-party Wallet service. Users are encouraged to perform their due diligence and review the terms, conditions, and security practices of any third-party Wallet provider they choose to use.

By connecting a Wallet to the Stadium Heroes platform, users acknowledge and agree to abide by this Wallet Policy and accept full responsibility for any actions undertaken with their Wallet in connection with our services.

4. User Content

a. Users may contribute content, such as team names, logos, and comments, within the Game. By submitting content, you grant Stadium Heroes the right to use, modify, and distribute such content.

b. Users are responsible for ensuring that their content does not violate any intellectual property rights or laws.

5. NFT Collectibles

5.1. Ownership and Usage. Upon acquiring NFT collectibles within the Stadium Heroes platform, users gain ownership of the digital asset under the conditions outlined in the smart contract associated with the NFT. Ownership grants the user the right to use, display, or trade the NFT within the confines of the game environment and according to the rules set forth by Stadium Heroes. Users must respect intellectual property rights and ensure that the use of NFTs outside the platform does not infringe on the rights of the creators or any third parties.

5.2. Authenticity and Rarity. Stadium Heroes ensures the authenticity and uniqueness of each NFT collectible. The rarity, attributes, and other characteristics of NFTs are defined at the point of minting and are immutable. Users should be aware of each NFT's traits and rarity level, as these factors may influence the NFT's value and utility within the game.

5.3. Transfer and Trade. Users are permitted to transfer or trade NFT collectibles with other players within the Stadium Heroes platform or through external marketplaces that support the game's NFTs. However, users must adhere to the trading rules and guidelines established by Stadium Heroes and ensure that all transactions are conducted in a fair and transparent manner.

5.4. No Guarantee of Value. Stadium Heroes provides a platform for entertainment and does not guarantee any specific financial return or increase in value of NFT collectibles. The market value of NFTs can be highly volatile, and users should trade or invest at their own risk, recognizing that the value of NFTs can fluctuate significantly over time.

5.5. Preservation of the Ecosystem. Users are encouraged to engage with NFT collectibles in a manner that preserves the integrity and sustainability of the Stadium Heroes ecosystem. Any attempt to manipulate the market, exploit the mechanics of NFTs, or engage in activities that harm the interests of other users or the platform itself will be subject to corrective actions and sanctions as outlined in the Suspicious Activity and Violations Policy.

6. Intellectual Property

a. All intellectual property rights related to the Game, including trademarks, copyrights, and designs, are owned by Stadium Heroes or its licensors.

b. Users may not reproduce, distribute, or modify any content from the Game without explicit permission.

7. Data Privacy

a. Stadium Heroes collects and processes user data in accordance with its Privacy Policy.

b. Users may be required to provide certain personal information to access and use the Game.

8. Limitation of Liability

a. Stadium Heroes is not liable for any losses or damages incurred as a result of using the Game.

b. Stadium Heroes is not responsible for the actions of other users within the Game.

9. Termination

Stadium Heroes reserves the right to suspend or terminate access to the Game for users who violate these Terms and Conditions.

10. Modifications

Stadium Heroes may update or modify these Terms and Conditions at any time. Continued use of the Game after such modifications implies acceptance of the revised terms.

11. Governing Law

These Terms and Conditions are governed by the laws of France. Any disputes shall be subject to the exclusive jurisdiction of the courts in France.

12. Suspicious Activity and Violations Policy

12.1. Monitoring and Reporting Suspicious Activity. Stadium Heroes is committed to maintaining a secure and compliant gaming environment. We continuously monitor for suspicious or irregular activities that may indicate potential violations of our Terms & Conditions, including but not limited to fraud, exploitation of game vulnerabilities, or illegal financial activities. Users are required to report any suspicious activities or anomalies they encounter within the game environment to our support team immediately.

12.2. Actions Against Violations. If a user is found to be engaging in activities that violate our Terms & Conditions, or if their actions are deemed detrimental to the integrity and fair play of our gaming community, Stadium Heroes reserves the right to take appropriate measures. These measures may include, but are not limited to, temporary suspension of access to the game, forfeiture of in-game assets, permanent account ban, and, if necessary, legal action.

12.3. Cooperation with Authorities. Stadium Heroes cooperates with law enforcement and regulatory authorities when required. In cases of suspected illegal activities or when compelled by legal mandates, we may disclose user information and account details to the relevant authorities. Our cooperation aims to uphold legal standards and contribute to the prevention of illicit activities within the gaming ecosystem.

12.4. User Responsibility. Users are expected to conduct themselves in a manner that upholds the principles of fair play and respect for all members of the gaming community. Any attempt to manipulate game mechanics, exploit other users, or engage in any form of illicit activities is strictly prohibited and will be met with strict enforcement measures.

By participating in the Stadium Heroes gaming environment, users acknowledge their understanding and agreement to abide by this Suspicious Activity and Violations Policy, ensuring a safe and fair experience for all members of the community.
